Terms of Service

1. Acceptance of Terms

By accessing or using AI Margin (“the Service”), operated by Zs-Consulting (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not use the Service. These Terms constitute a legally binding agreement between you and Zs-Consulting.

2. Description of Service

AI Margin is a SaaS platform that analyzes AI feature-level profitability and unit economics. The Service connects to your AI provider APIs (including OpenAI, Anthropic, and Google) via a proxy integration to track costs, revenue, and margins at the feature level.

Our proxy integration intercepts only billing metadata (token counts, model identifiers, timestamps) from your API calls. We do not read, store, or process the content of your prompts or AI model responses.

3. Account Registration & Responsibilities

To use the Service, you must create an account using a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information during registration and to update it as necessary.

You must notify us immediately at hello@aimargin.ai if you become aware of any unauthorized use of your account.

4. Subscription & Billing

The Service is offered as a monthly subscription at $499 per month. Subscriptions auto-renew at the beginning of each billing period unless cancelled.

You may cancel your subscription at any time. The cancellation will take effect at the end of the current billing period. No refunds will be issued for partial billing periods.

All payments are processed through Stripe. We do not store credit card numbers or payment card data on our servers.

5. Non-payment & Grace Period

If payment fails, we will notify you and provide a 7-day grace period. If payment is not received within 7 days, your account will be suspended and proxy access will be disabled. Data will be retained for 30 days after suspension before deletion.

6. Data Usage & API Proxy

By connecting your AI provider APIs to the Service, you grant us permission to access usage metadata necessary to provide the Service. This metadata includes token counts, model identifiers, request timestamps, and associated costs.

You retain full ownership and control of your data. We act as a data processor on your behalf, and our processing is limited to the usage metadata necessary to provide the Service. You are the controller of any data you process using our Service.

The parties agree to enter into a separate Data Processing Agreement upon request, which will incorporate the Standard Contractual Clauses (if applicable). Contact hello@aimargin.ai for DPA requests.

7. Intellectual Property

The Service, including its design, features, code, documentation, and branding, is the intellectual property of Zs-Consulting. You may not copy, modify, distribute, or reverse-engineer any part of the Service without prior written consent.

You retain all rights to your data. We do not claim ownership over any data you submit to or generate through the Service.

8. Service Availability

We do not guarantee uninterrupted or error-free service. Service availability may be affected by third-party providers, network conditions, and scheduled maintenance. We will make commercially reasonable efforts to maintain high availability but do not offer a formal SLA at this time.

9. Limitation of Liability

Our total aggregate liability arising out of or relating to this Agreement shall not exceed the total amount paid by you in the 12 months preceding the claim.

In no event shall either party be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Termination

Either party may terminate this agreement at any time. You may terminate by cancelling your subscription and ceasing use of the Service. We may terminate or suspend your access if you violate these Terms or engage in conduct that we reasonably believe is harmful to the Service or other users.

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days following termination, after which it will be permanently deleted unless retention is required by law.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of Hungary and the European Union. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Hungary. Nothing in these Terms limits your rights under applicable EU consumer protection legislation.
